Important Notice to Marketplace Participants
Please read these terms carefully before posting projects or claiming software deals on DevDeal. By creating an account or accessing the marketplace, you agree to be bound by these Terms and Conditions.
1. Acceptance of Terms
These Business Terms & Conditions (“Terms”) constitute a binding legal agreement between you (“User”, “Client”, or “Developer”) and DevDeal (“DevDeal”, “we”, “our”), regulating your access to and use of the website located at devdeal.vercel.app and related services.
If you do not agree to these Terms, you must immediately discontinue using the DevDeal platform.
2. The DevDeal Platform
DevDeal is a specialized digital software marketplace that connects clients who require custom software development with verified software engineers and development specialists.
Unlike traditional bidding networks where dozens of proposals compete over extended review cycles, DevDeal implements a streamlined “first-to-claim” model. When a client publishes a project with defined technical requirements and a locked budget, authorized developers review the specification and claim the opportunity immediately using platform credits.
3. Client & Developer Roles
DevDeal supports two primary marketplace participant roles:
- Clients: Users who post software project opportunities, define technical scopes and budgets, review developer qualifications, engage in project chat, and verify project completion. Posting projects on DevDeal is free for clients.
- Developers: Technical professionals who maintain active subscriptions, browse the live dispatch feed, claim software opportunities, and collaborate with clients to deliver engineering solutions.
- Dual-Role Accounts: DevDeal permits users to hold both client and developer roles under a single verified account profile, switching between workspaces as needed.
4. Project Posting & Claiming Workflow
A. Project Posting
Clients must provide accurate, truthful, and non-deceptive technical specifications. Project scopes must clearly outline deliverables, deadlines, and a realistic budget. Posting speculative, fraudulent, or malicious project listings is strictly prohibited.
B. Atomic “First-to-Claim” Dispatch
When an open deal is claimed by a developer, DevDeal executes an atomic database transaction. The claiming developer spends 1 claim credit, and the deal is instantly locked to that developer to prevent duplicate claims.
C. Scoped Communication & Fit Confirmation
Claiming a deal initiates a direct one-on-one technical chat channel between the client and developer. The client reviews the claiming developer's profile and verifies alignment before work proceeds to active status.
5. Subscriptions & Developer Credits
Developer access to claim projects is provisioned through recurring digital monthly subscriptions (Pro Tier at $19/mo; Power Tier at $49/mo).
- Subscriptions grant monthly allotments of claim credits (40 credits for Pro, 120 credits for Power).
- Unused credits roll over each month up to the designated plan maximum (80 for Pro, 240 for Power).
- Credits are consumed upon claiming deals and cannot be converted into cash, crypto, or transferred between accounts.
- Payments are billed in advance for each monthly billing cycle and are processed through authorized payment infrastructure (including Paymos).
- Refunds and cancellations are handled in accordance with our Refund & Cancellation Policy.
6. Acceptable Use & Prohibited Conduct
Users agree to conduct themselves professionally and refrain from any of the following prohibited activities:
- Posting projects that involve illegal software, malware, ransomware, unauthorized access tools, or copyrighted content infringement.
- Using automated scrapers, bots, or unauthorized scripts to claim deals or extract marketplace data.
- Engaging in harassment, abusive communication, discrimination, or deceptive representations in project chats.
- Attempting to bypass DevDeal authentication, reverse engineer API endpoints, or exploit security vulnerabilities.
- Misrepresenting engineering skills, qualifications, identity, or past verified work history.
7. Intellectual Property & Deliverables
Project Deliverables: Unless otherwise agreed in writing between the Client and Developer, upon full project payment and completion verification, all custom software code, designs, and deliverables created by the Developer for that specific project are assigned to and owned by the Client.
DevDeal Platform IP: The DevDeal brand, logo, user interface designs, algorithms, codebases, and website content are the exclusive intellectual property of DevDeal and may not be reproduced or copied without written consent.
8. Independent Contractor Relationship
Developers registered on DevDeal are independent contractors and are not employees, agents, partners, or joint venturers of DevDeal.
DevDeal acts as a marketplace platform and technical intermediary. DevDeal does not direct, supervise, or control the specific manner or hours in which developers perform their work, nor does DevDeal endorse or guarantee any specific developer or client outcome beyond the programmatic security protections built into the platform.
9. Suspension & Termination
DevDeal reserves the right to suspend or terminate account access, remove project listings, or revoke platform privileges immediately and without prior notice in the event of:
- A material breach of these Terms or acceptable use policies.
- Fraudulent, abusive, or unauthorized payment activity.
- Demonstrated failure to deliver claimed projects or harassment of other marketplace members.
- Compliance with legal, regulatory, or law enforcement mandates.
10. Disclaimers & Limitation of Liability
THE DEVDEAL PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DEVDEAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR CONTRACTS ENTERED INTO BETWEEN CLIENTS AND DEVELOPERS. DEVDEAL'S TOTAL AGGREGATE LIABILITY ARISING FROM ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO DEVDEAL IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
11. Changes to Terms
DevDeal may update or modify these Terms periodically to reflect platform updates, regulatory changes, or evolving business operations. When changes are made, we will update the “Last updated” date at the top of this document. Continued use of the platform after revised terms are posted constitutes your acceptance of the updated terms.
12. Governing Principles & Inquiries
These Terms are governed by general principles of contract law and commercial fairness. In the event of a disagreement or dispute between marketplace members, we encourage parties to resolve the matter amicably through good-faith communication.
